Terms of Service

These Terms of Service govern your use of the WoneFile file-management platform — whether you run it on your own infrastructure or use a hosted workspace operated by us.

Last updated: October 27, 2026

1. Agreement to these terms

These Terms of Service (“Terms”) are a binding agreement between you and the operator of the WoneFile service (“WoneFile”, “we”, “us”). By creating an account, purchasing a subscription, or using the WoneFile platform, you agree to these Terms and to our Privacy Policy. If you use WoneFile on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

2. The WoneFile service

WoneFile is a file-management platform for collecting, organizing, and sharing files in one governed workspace. It is offered in several forms:

  • Self-hosted: you run the software on your own device, server, or dedicated instance, with storage you provide (including S3-compatible object storage).
  • Hosted cloud: we operate a workspace for you, optionally with cloud storage add-ons that we meter and bill.
  • A free personal edition with limited seats and features.

Features vary by edition and deployment model. The documentation and pricing pages describe what each edition includes; those descriptions form part of these Terms.

3. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract to create an account. You agree to provide accurate registration information, keep your credentials confidential, and notify us promptly at [email protected] if you suspect unauthorized access. You are responsible for activity that occurs under your account and for the accounts you administer, including invited users and guests.

4. Plans, billing, and payment

Paid subscriptions are billed in advance on the billing period you select (monthly, quarterly, or annual) at the prices shown on our pricing page. Payments are processed by Stripe; by purchasing, you also agree to Stripe’s terms for payment processing. We do not store your full payment card details.

  • Subscriptions renew automatically unless you cancel before the renewal date.
  • You may cancel at any time; cancellation takes effect at the end of the current paid period, and access continues until then.
  • Fees are non-refundable except where required by law or expressly stated otherwise.
  • Usage-based charges (such as cloud storage add-ons) are metered and billed with your subscription.
  • We may change prices with at least 30 days’ notice; changes apply from your next renewal.
  • You are responsible for applicable taxes, which may be added at checkout.

5. Acceptable use

You agree not to use WoneFile to:

  • store, share, or distribute content that is unlawful, infringing, defamatory, or harmful, including malware or content that exploits minors;
  • violate the privacy, intellectual-property, or other rights of others;
  • probe, scan, or test the vulnerability of any system, or interfere with the service’s operation;
  • circumvent access controls, quotas, metering, or license restrictions;
  • resell or provide the service to third parties except as expressly permitted by your edition.

We may suspend or terminate access — and, for hosted workspaces, remove content — where we reasonably believe this policy has been violated.

6. Your files and content

You retain all ownership of the files and content you store in WoneFile (“Your Content”). You grant us only the limited rights needed to operate the hosted service for you — storing, transmitting, and displaying Your Content as directed by your use of the platform. We do not use Your Content to advertise, and we do not sell it. For self-hosted deployments, Your Content never passes through our systems in the ordinary operation of the software.

You are responsible for Your Content and for having the rights to store and share it, including content uploaded by your guests and invitees.

7. Sharing and guest uploads

WoneFile lets you share files with view, upload, or edit permissions, create invite links, and collect files from guests who may not have accounts. When you enable sharing or guest uploads, you are responsible for who receives access, what they upload, and for complying with laws that apply to the files you collect (for example, obtaining consent where required). Guests who upload or access files through your workspace do so under your authority and these Terms.

8. Self-hosted deployments

If you self-host WoneFile, you control the infrastructure, and with it the responsibility for backups, network security, access controls, patching, and regulatory compliance of that environment. Licenses for self-hosted editions are per the purchased plan and seat counts; you agree not to circumvent license or seat enforcement. We are not liable for data loss, breach, or downtime arising from infrastructure you operate.

9. Intellectual property

The WoneFile software, brand, documentation, and site content are owned by us and protected by intellectual-property laws. Your subscription or license grants you a non-exclusive, non-transferable right to use the software for its intended purpose during your term. You may not copy, modify, reverse-engineer (except where the law prohibits this restriction), or create derivative works of the proprietary parts of the service.

10. Privacy and data protection

Our Privacy Policy explains what personal data we collect and how we handle it, including your rights to access, export, and erase your data. Where we process personal data on your behalf as a processor (for hosted workspaces), we do so on your documented instructions as the controller.

11. Disclaimers

The service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that any storage configuration — ours or yours — is immune from data loss. You are responsible for maintaining backups appropriate to your risk.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim (or, if you paid nothing, one hundred US dollars). Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnification

You will defend and indemnify us against claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the service in violation of these Terms, or your violation of any law or third-party right — including claims by your guests and invitees relating to content collected through your workspace.

14. Term and termination

These Terms apply while you use the service. You may stop using it and cancel your subscription at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or where required by law. On termination of a hosted workspace, we will make your data available for export for a reasonable period (at least 30 days) before deletion, unless legally prohibited. Sections that by their nature should survive (ownership, disclaimers, liability, indemnification, governing law) survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws rules. The courts located in Texas have exclusive jurisdiction over disputes arising from these Terms or the service, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms on this page with a new “last updated” date and, for material changes, give reasonable advance notice (for example, by email or in-product notice). Continued use after the effective date constitutes acceptance.
